THIS JOINT DEVELOPMENT AGREEMENT (this “Agreement”) dated as of November 26, 2008 (the “Effective Date”) is entered into between Medicis Pharmaceutical Corporation, a Delaware corporation with offices located at 7720 North Dobson Road, Scottsdale, Arizona 85256 on behalf of itself and its Affiliates (collectively, “Medicis”), and Impax Laboratories, Inc., a Delaware corporation with offices located at 30831 Huntwood Avenue, Hayward, California 94544 on behalf of itself and its Affiliates (collectively, “Impax”).

The parties agree to collaborate under the terms and conditions set forth hereabove and in the hereunder General Terms and Conditions.

This Joint Development Agreement (this “JDA”), is dated as of this 15th day of March, 2011 (“Effective Date”), by and between Genomatica, Inc., a Delaware corporation with principal offices located at 10520 Wateridge Circle, San Diego, California 92121 (hereinafter referred to as “Genomatica”), and Tate & Lyle Ingredients Americas, Inc., a Delaware corporation with principal offices located at 2200 East Eldorado Street, Decatur, Illinois 62521 (hereinafter referred to as “T&L”).

This Joint Development Agreement (this “JDA”), is dated as of this 15th day of April, 2011 (“Effective Date”), by and between Genomatica, Inc., a Delaware corporation with principal offices located at 10520 Wateridge Circle, San Diego, California 92121 (hereinafter referred to as “Genomatica”), and Chemtex Italia S.r.l., an Italian corporation with principal offices located at Strada Ribrocca n. 11, 15057 Tortona (AL), Italy (hereinafter referred to as “Chemtex”).

NOTE: This Joint Development Agreement is a draft agreement which will be considered by the Jefferson County Executive Committee at its meeting on March 31st 2021 at 9:00 a.m. for possible changes after receiving public comment. After Executive Committee review, the committee will decide whether or not to forward this Joint Development Agreement to the Jefferson County Board of Supervisors for consideration which may result in further changes, approval of the Joint Development Agreement as presented, or a decision not to enter into this draft Joint Development Agreement.

This Joint Development Agreement (the “Agreement”) is made and entered into as of this 14th day of March, 2005 (“Effective Date”), by and between Aviza Technology, Inc., a Delaware corporation (“Aviza”), and Trikon Technologies, Inc. a Delaware corporation (“Trikon”). (As used in this Agreement, each of Aviza and Trikon is a “Party” and collectively the “Parties.”)

Verdant Automotive Corporation, a Delaware corporation (including its permitted assigns, “Verdant”), and WindStrip, LLC, a Delaware limited liability company (“WindStrip”) enter this Joint Development Agreement (“JDA”) as of this 30th day of September 2011. This JDA, together with its exhibits, includes the principal terms for the establishment of a business collaboration (the “Collaboration”) to develop and commercialize power storage and management systems (the “Storage Systems”) that are integrated into WindStrip’s modular wind and hybrid wind power systems (the “Generation Systems” and as integrated, the “Integrated Systems”).
